Subscription Policy

1. Overview

MERIT Lumina (“the Platform”), operated by Merit Vision Pty Ltd (“we”, “us”, or “our”), is offered on a subscription basis. This Subscription Policy sets out the terms that govern your subscription, including available plans, billing, renewals, upgrades, downgrades, and cancellation. By subscribing to any paid plan, you agree to the terms below and to our Terms of Service.

2. Available Plans

The Platform offers several subscription tiers to suit organisations of different sizes and requirements. Full details of each plan — including feature inclusions and pricing — are available on our Pricing page.

  • Free Plan — A no-cost tier with limited features and user seats, suitable for individuals or small teams evaluating the Platform. No payment information is required.
  • Professional Plan — A paid tier designed for growing organisations, with expanded data capacity, advanced reporting, and multi-user access.
  • Enterprise Plan — A custom-priced tier for large organisations requiring dedicated support, increased API limits, custom integrations, and SLA guarantees.

Plan features and limits are subject to change. We will provide reasonable notice of any material changes to plan inclusions.

3. Billing Cycles

Paid subscriptions are available on monthly or annual billing cycles:

  • Monthly billing — Charged on the same calendar date each month (e.g. if you subscribe on the 5th, you will be charged on the 5th of each subsequent month).
  • Annual billing — Charged in full at the start of each 12-month period. Annual subscriptions typically attract a discounted rate compared to monthly billing.

All fees are denominated in Australian Dollars (AUD) and are exclusive of Goods and Services Tax (GST) unless stated otherwise. GST will be added at the applicable rate for Australian customers.

4. Payment Methods

We accept payment by major credit and debit cards (Visa, Mastercard, and American Express) processed through our secure payment provider. Enterprise customers may be eligible for invoice-based payment with agreed net payment terms. Payment information is processed and stored by our payment provider and is subject to their security standards. We do not store full card details on our systems.

5. Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You will receive a reminder notification by email at least 7 days before an annual subscription renews. By maintaining an active subscription, you authorise us to charge your nominated payment method for the applicable renewal fee. If a renewal payment fails, we will notify you and provide a grace period of 7 days to update your payment details before your account is downgraded to the Free plan.

6. Upgrades

You may upgrade your subscription plan at any time from your account settings. When upgrading, you will be charged a pro-rated amount for the remainder of your current billing period at the new plan rate. The upgraded features will become available immediately upon confirmation of payment. Your subsequent billing cycle will reflect the full price of the new plan.

7. Downgrades

You may downgrade your subscription plan at any time from your account settings. Downgrades take effect at the end of your current billing period. You will retain access to your current plan's features until the period concludes. Data or configurations that exceed the limits of your new plan may become read-only or inaccessible following the downgrade. We recommend exporting any affected data before the downgrade takes effect.

8. Cancellation

You may cancel your subscription at any time from the “Billing” section of your account settings. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • You will not be charged for any subsequent billing periods
  • After the billing period ends, your account will revert to the Free plan (if available) or be deactivated
  • Your data will be retained for 90 days post-cancellation to allow for reactivation or export, after which it will be securely deleted in accordance with our Privacy Policy

9. Free Trials

We may offer time-limited free trials of paid plans from time to time. Trial terms, including duration and feature access, will be stated at the point of sign-up. At the end of a trial period, your account will automatically revert to the Free plan unless you enter payment details and confirm a paid subscription. We will notify you before any trial converts to a paid subscription.

10. Price Changes

We reserve the right to adjust subscription pricing. We will provide at least 30 days' written notice of any price increase before it takes effect, delivered via email to the account holder. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing. If you do not accept the new pricing, you may cancel your subscription before the change takes effect without penalty.

11. Refunds

Subscription fees are generally non-refundable except as described in our Refund Policy or as required under the Australian Consumer Law. Pro-rated refunds may be available for annual subscriptions cancelled within 30 days of renewal.

12. Account Suspension

We may suspend or terminate your subscription without refund if you breach our Terms of Service or Acceptable Use Policy. In cases of suspected fraud or misuse, we may suspend access immediately pending investigation. Where possible, we will provide notice and an opportunity to remedy the situation before suspension or termination.
